Agency Contract

Party A: Beijing Star-light Translation Center
Party B:
In consideration of the principles of making full use of each other’s advantages, mutual benefit and mutually developing, through friendly consultations, the two parties agree to enter into this Agency Contract on cooperation under the terms and conditions as follows:
1. Preferential Treatments Provided by Party A
a. Giving Party B a vicarious price on the basis of Party A’s the Service Price List for Agent;
b. A preferential arrangement on the process of translation operation.

2. Basis Conditions of Party B
a. As Party A’s agent, Party B must be a government entity or an enterprise with qualification of legal personality. When contracting, Party B must submit unit introduction letters with official seal or a copy of the party B’s business license with the seal of local industry and commerce administration;
b. Good prestige and credit are needed;
c. Party B should have the ability to keep the sum of transaction no less than Ten Thousand RMB Yuan (￥10,000) during the period the present contract is effective.

3. Advertising Supports of Party A
a. Party B can link to Party A’s website (www.xinghui.com);
b. Party B’s name can be listed on the printed papers or advertising media of Party A, with the exception of Advertising Supports when Party A’s advertising specification is less than 1/2 of a full page.

4. Process of Translation Operation
a. Party B should transfer the materials that need being translated to Party A by Fax/E-mail, and Party B should inform Party A by telephone at the same time;
b. When Party A has received Party B’s Fax/E-mail, Party A should fill a Production Order and transfer it to Party B by Fax;
c. After Party B has received the Production Order, Party B should sign and seal and transfer it back to Party A;
d. After receiving the Production Order with Party B’s signature and seal, Party A will begin translation operation;
e. Party A should transfer the translated works to Party B by Fax/E-mail.

5. Contracting Methods
a. Agents of other provinces/overseas can download this contract directly from the website—www.xinghui.com. After having signed and sealed on the contract, Agents should post the contract, unit introduction letter/Business License copy mentioned above to Party A;
b. Having received and examined Party B’s documents mentioned above, Party A should confirm the documents. Party A would post the documents back to Party B after Party A has signed and sealed on them;
c. The present contract should take effect immediately two party’s sign and seal the present contract;
d. Two originals of the same form of the present contract have the same legal effectiveness;
e. Other unmentioned business should be settled cooperatively by other ways.

6. Terms of Validity
The validity of the present contract should last one year from ________ (Year/Month/Day) to _________ (Year/Month/Day).
